Taxpert Professionals is seeking a qualified and motivated Company Secretary to join our corporate legal team at our Vidyavihar office. In this role, you will manage a comprehensive portfolio of corporate secretarial, compliance, and regulatory matters. You will be responsible for ensuring adherence to the Companies Act, SEBI regulations, and FEMA, while providing critical support in board governance, statutory filings, and liaison with regulatory bodies. Key Responsibilities:
• Manage all secretarial compliances, including drafting agendas, minutes, and maintaining statutory registers for board meetings, AGMs, and other corporate events.
• Handle filings and submissions on the MCA portal (v2/v3) and ensure timely compliance under the Companies Act, 2013, including compounding of offences with the ROC.
• Provide advisory support and ensure compliance with SEBI regulations and FEMA, including online reporting, RBI representation, and compounding of offences.
• Monitor regulatory changes, liaise with external regulators (ROC, NCLT, SEBI, RBI), and represent the company as required.
• Draft legal opinions, assist in foreign investment structuring, and manage all corporate and economic law-related compliance systems.
Skill Requirement
The ideal candidate is a Qualified Company Secretary with at least one year of relevant post-qualification experience, strong analytical skills, and a meticulous approach to compliance. You must be proficient in corporate law, possess excellent communication skills, and be capable of handling independent assignments in a fast-paced consulting setting.
Required Skills & Qualifications:
• Qualified Company Secretary (CS) with membership of ICSI.
• Minimum of 1 year of relevant experience in corporate secretarial practice, compliance, and advisory.
• In-depth, hands-on knowledge of the Companies Act, 2013, SEBI regulations, and FEMA compliances.
• High proficiency in using the MCA portal (v2/v3) and Microsoft Office Suite (Excel, Word).
• Excellent written and verbal communication skills in English.
• Willingness to travel for regulatory visits to ROC, NCLT, SEBI, etc., as required.
