MAN INVESTMENT SERVICES PVT LTD, a leading NBFC within the Man Investment Group, is seeking a qualified and detail-oriented Company Secretary to join our corporate team based in Andheri West, Mumbai. This is a full-time, on-site role located within walking distance of the railway station. You will be responsible for ensuring the company adheres to all statutory and regulatory requirements, with a specific focus on NBFC and RBI compliances, while providing crucial secretarial and legal support to the management.
Your primary responsibilities will include:
• Managing all secretarial compliances under the Companies Act and ensuring the company maintains an up-to-date regulatory status.
• Handling and maintaining statutory records, including minute books, registers, and meeting records for the Board and Committees.
• Filing necessary forms and returns with the Registrar of Companies (ROC) and other regulatory bodies in a timely manner.
• Conducting research and reviewing legal provisions relevant to the company’s NBFC business activities to ensure full compliance.
• Monitoring and ensuring adherence to all RBI regulations and guidelines applicable to NBFCs.
• Providing expert assistance to management in decision-making from a Companies Act perspective and supporting legal matters as required.
• Maintaining comprehensive and organized NBFC-specific records and documentation.

Skill Requirement
The ideal candidate is a qualified Company Secretary with a strong understanding of corporate law, NBFC regulations, and a proactive approach to compliance. Membership with the ICSI and relevant professional competence are mandatory.
Required skills and qualifications include:
• Qualification: Must be a qualified Company Secretary with a valid CS Degree & Membership Number from the Institute of Company Secretaries of India (ICSI).
• Experience: Proven competence in handling secretarial compliances, preferably within an NBFC, banking, or financial services sector.
• Regulatory Knowledge: In-depth knowledge of the Companies Act, 2013, RBI regulations for NBFCs, and corporate governance standards.
• Technical Skills: Proficiency in maintaining statutory records, drafting minutes, and managing compliance calendars. Knowledge of trust compliances is an added advantage.
• Personal Attributes: High attention to detail, strong analytical and research skills, and the ability to work independently with integrity.
• Logistics: Must reside within a commutable distance to Andheri West, Mumbai.
